Terms of Service
Effective Date: 1 January 2026
Please read these Terms of Service carefully before using the Nurture Network Learning Management System.
These Terms of Service ("Terms") govern your access to and use of our Learning Management System ("LMS", "Platform", "Service") provided by Nurture Network ("we", "us", "our", "Company"). By accessing or using the Platform, you agree to be bound by these Terms.
1. Definitions and Interpretation
1.1. "User" means any individual who accesses or uses the Platform, including learners, instructors, administrators, and guests.
1.2. "Content" means all materials, information, data, text, courses, assessments, videos, graphics, and other content available on or through the Platform.
1.3. "Training Program" means the educational courses, modules, and materials provided through the LMS.
1.4. "Personal Information" has the meaning ascribed to it in the Protection of Personal Information Act 4 of 2013 ("POPIA").
2. Acceptance of Terms
2.1. By registering for, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2.2. If you do not agree to these Terms, you must not access or use the Platform.
2.3. We reserve the right to modify these Terms at any time. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.
3. User Registration and Account
3.1. To access certain features of the Platform, you must register and create an account.
3.2. You must provide accurate, current, and complete information during registration and maintain the accuracy of such information.
3.3. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.4. You must immediately notify us of any unauthorized use of your account or any other security breach.
3.5. You must be at least 18 years old to register for an account, unless parental or guardian consent has been obtained.
4. Use of the Platform
4.1 Permitted Use
You may use the Platform solely for lawful purposes and in accordance with these Terms. Permitted uses include:
- Accessing and participating in assigned training programs
- Viewing and downloading course materials for personal educational use
- Completing assessments and assignments
- Communicating with instructors and other learners through designated Platform features
4.2 Prohibited Use
You agree not to:
- Use the Platform for any illegal purpose or in violation of any applicable laws or regulations
- Share your account credentials with others or allow others to access the Platform using your account
- Copy, reproduce, distribute, or create derivative works from Content without authorization
- Attempt to gain unauthorized access to the Platform, other accounts, or computer systems
- Upload or transmit viruses, malware, or any other malicious code
- Harass, abuse, threaten, or intimidate other Users
- Engage in cheating, plagiarism, or academic dishonesty
- Interfere with or disrupt the Platform or servers or networks connected to the Platform
5. Intellectual Property Rights
5.1. All Content on the Platform, including but not limited to text, graphics, logos, videos, software, and course materials, is the property of the Company or its licensors and is protected by South African and international copyright, trademark, and other intellectual property laws.
5.2. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Content solely for your personal educational purposes.
5.3. You may not reproduce, distribute, modify, create derivative works, publicly display, or otherwise exploit any Content without our prior written consent.
5.4. Any User-generated content you submit remains your property, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for the purposes of operating and improving the Platform.
6. Privacy and Data Protection
6.1. We are committed to protecting your privacy and complying with POPIA and all applicable data protection laws in South Africa.
6.2. Our collection, use, and disclosure of your Personal Information is governed by our Privacy Policy, which forms part of these Terms.
6.3. By using the Platform, you consent to the collection and processing of your Personal Information as described in our Privacy Policy.
6.4. You have the right to access, correct, or delete your Personal Information in accordance with POPIA. Please contact us to exercise these rights.
7. Payment and Fees
7.1. Access to certain training programs may require payment of fees as specified on the Platform or in your enrollment agreement.
7.2. All fees are quoted in South African Rand (ZAR) and are inclusive of Value-Added Tax (VAT) where applicable.
7.3. Payment must be made in advance unless otherwise agreed in writing.
7.4. We reserve the right to change fees at any time, but changes will not affect fees already paid.
7.5. Refunds will be provided in accordance with our Refund Policy, which complies with the Consumer Protection Act 68 of 2008.
8. Course Completion and Certification
8.1. Certificates of completion will be issued only upon successful completion of all course requirements as determined by the Company.
8.2. The Company reserves the right to withhold certificates if there is evidence of academic dishonesty or violation of these Terms.
8.3. Certificates remain the property of the Company but may be used by Users for professional and educational purposes.
9. Suspension and Termination
9.1. We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any violation of these Terms or for any other reason.
9.2. You may terminate your account at any time by contacting us. Termination does not relieve you of any obligations incurred prior to termination.
9.3. Upon termination, your right to access the Platform will immediately cease, but provisions regarding intellectual property, confidentiality, and limitations of liability will survive.
10. Disclaimer of Warranties
10.1. The Platform and all Content are provided "as is" and "as available" without warranties of any kind, either express or implied.
10.2. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
10.3. We make no representations or warranties regarding the accuracy, completeness, or timeliness of Content.
10.4. You use the Platform at your own risk. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
11.1. To the maximum extent permitted by South African law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
11.2. Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the amount paid by you to us in the 12 months preceding the claim.
11.3. Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under South African law.
12. Indemnification
12.1. You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
13. Force Majeure
13.1. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, strikes, natural disasters, pandemic, or failure of telecommunications or internet services.
14. Governing Law and Jurisdiction
14.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.
14.2. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
14.3. Before initiating legal proceedings, parties agree to attempt to resolve disputes through good faith negotiations.
15. Electronic Communications Act Compliance
15.1. In accordance with the Electronic Communications and Transactions Act 25 of 2002 ("ECTA"), these Terms constitute a valid electronic agreement.
15.2. Your acceptance of these Terms through electronic means has the same legal effect as a written signature.
16. Consumer Protection
16.1. These Terms are subject to the Consumer Protection Act 68 of 2008 ("CPA"). Nothing in these Terms is intended to limit any rights you may have under the CPA.
16.2. If you are entitled to cancel your enrollment under the CPA's cooling-off period provisions, you may do so in accordance with applicable law.
17. General Provisions
17.1. Entire Agreement: These Terms, together with our Privacy Policy and any other documents referenced herein, constitute the entire agreement between you and the Company regarding the Platform.
17.2. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17.3. Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
17.4. Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
17.5. No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
